Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "Customer") and Mantle Suite LLC ("Mantle", "we", "us"). They govern your use of mantlesuite.com and the Mantle web application (the "Service"). By creating an account or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. Eligibility

You must be at least 13 years old to use Mantle. If you're under 18, you may use the Service only with the involvement of a parent or legal guardian. If you're signing up on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Your account

• You're responsible for all activity that happens under your account.
• Keep your password confidential. We'll never ask you to share it.
• Notify us immediately at support@mantlesuite.com if you suspect unauthorized access.
• You may invite teammates to your workspace as Admin, Member, or Crew. The Workspace Owner is ultimately responsible for the actions of teammates inside that workspace.

3. Free trial

New workspaces receive a 14-day free trial with access to all features. We don't collect payment to start the trial. At the end of the trial, you must select a paid plan to continue using the Service. Workspaces without a paid plan after the trial are read-only until a plan is selected or the workspace is closed.

4. Subscriptions, billing, and payment

• Subscription fees are billed in advance, monthly or annually as selected, in U.S. dollars.
• Payment is processed by Stripe. You authorize us (through Stripe) to charge the payment method on file for each renewal period until you cancel.
• You're responsible for keeping your billing details current. If a payment fails, we'll retry and notify you; if it can't be resolved we may suspend or terminate access.
• Prices may change. We'll notify you at least 30 days before any change applies to your next renewal.

Refunds

All subscription fees are non-refundable. You can cancel at any time and you'll retain access until the end of the period you've paid for, but we do not pro-rate refunds for partial months or years. The 14-day free trial gives you ample time to evaluate before being charged.

If you believe you've been charged in error or have a billing dispute, contact support@mantlesuite.com within 30 days of the charge and we'll review your case in good faith.

5. Cancellation and termination

• By you — cancel anytime from Settings → Billing. Your subscription remains active through the end of the period you've paid for.
• By us — we may suspend or terminate your account if you breach these Terms, abuse the Service, or fail to pay. We'll give you reasonable notice unless immediate action is required to protect other users or the platform.
• Effect of termination — your access stops, and your data is retained per our Privacy Policy (30-day grace period, then permanent deletion).

6. Acceptable use

You agree NOT to use the Service to:

• Send spam, phishing emails, or unsolicited messages to non-clients
• Engage in fraudulent invoicing, money laundering, or any illegal activity
• Upload viruses, malware, or any code designed to disrupt the Service
• Attempt to access another customer's workspace, reverse-engineer the Service, or probe for vulnerabilities without authorization
• Use the Service to defame, harass, or harm others
• Resell or sublicense the Service without our written permission
• Exceed reasonable usage limits or interfere with other customers' performance

We may investigate suspected violations and take any action we deem appropriate, including suspending your account and reporting to law enforcement.

7. Your content and our content

You own your content

Invoices, estimates, client records, files, documents, and any other content you create or upload ("Customer Content") belong to you. We claim no ownership over your business data. You grant us a limited license to store, process, transmit, and display your content solely for the purpose of operating the Service on your behalf.

We own the platform

Mantle Suite (the software, design, brand, "Mantle" name, the logo, the trademark, the underlying code, and any documentation) is owned by Mantle Suite LLC and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.

Feedback

If you send us feedback or feature suggestions, you give us the right to use it freely without any obligation to compensate you.

8. Third-party services

Mantle integrates with third-party services to function — including Stripe (payments), Resend (email), and our cloud infrastructure providers. Your use of those services is also subject to their own terms and privacy policies. We're not responsible for their actions or outages, though we'll work to maintain reliable integrations.

9. Service availability and changes

• We strive to keep Mantle available 24/7 but don't guarantee uptime. Planned maintenance and unexpected outages happen — we'll do our best to minimize them.
• We may modify, add, or remove features at any time. If we remove a material feature you rely on, we'll provide reasonable notice.
• We do not promise that the Service will be error-free.

10. Beta features

From time to time we may label certain features "Beta", "Preview", or similar. Those features are provided "as-is" for testing, may be withdrawn at any time, and are not subject to any service-level commitments.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING (BUT NOT LIMITED TO) THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA WILL BE ACCURATE OR RELIABLE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANTLE SUITE LLC, ITS OWNERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU'VE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless Mantle Suite LLC from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your content, your misuse of the Service, your violation of these Terms, or your violation of any third party's rights.

14. Governing law and disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts.

Before filing any formal legal action, you agree to first contact us at support@mantlesuite.com and attempt to resolve the dispute in good faith for at least 30 days.

15. Changes to these Terms

We may update these Terms occasionally. When we make material changes, we'll post a notice inside the app and update the "Effective" date above. Continued use of the Service after a change means you accept the updated Terms. If you don't accept a change, your remedy is to cancel your subscription.

16. Miscellaneous

• Entire agreement — these Terms (plus our Privacy Policy) are the entire agreement between you and Mantle regarding the Service.
• Severability — if any provision is found unenforceable, the rest stays in effect.
• No waiver — our failure to enforce a right is not a waiver of that right.
• Assignment — you may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
